MEMBERSHIP AGREEMENT

This Membership Agreement ("Agreement") is between AUdacious City ("AUdacious City," "AC," "we," "us," or "our") and the individual applying for or holding membership ("Member," "you," or "your").

By submitting a membership application, checking an acceptance box, signing electronically, or otherwise participating as a Member, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

1. Membership and Eligibility

  1. Membership is personal to the approved Member and may not be transferred, assigned, shared, or used by another person.

  2. Membership is intended for neurodivergent and differently-abled young adults, generally ages 18-35, who can participate safely in community-based social activities within AUdacious City's current program model.

  3. Members must be able to participate with general group facilitation and minimal support. AUdacious City does not provide continuous one-to-one supervision, personal care, clinical treatment, behavioral therapy, medical monitoring, medication administration, transportation, or elopement-prevention services.

  4. Personal support persons, caregivers, parents, or other outside support staff do not attend AUdacious City events with a Member. A prospective Member who requires a dedicated support person to remain with them during activities is not appropriate for the current membership model.

  5. AUdacious City may request information reasonably necessary to determine whether its current program model can safely and appropriately meet a prospective or current Member's participation needs.

  6. Eligibility is an ongoing condition of membership. If a Member's needs or circumstances materially change, AUdacious City may reassess whether the Member can continue to participate safely within the program as then operated.

2. Membership Fees and Founding Membership

  1. Standard membership is $225 per month.

  2. The first 24 eligible Members who enroll as Founding Members may receive a Founding Member rate of $195 per month.

  3. The $195 Founding Member rate remains available for the life of the membership only while the Founding Member maintains continuous membership without cancellation. If a Founding Member cancels membership and later rejoins, the then-current standard membership rate will apply unless AUdacious City expressly agrees otherwise in writing.

  4. Membership fees are billed on a recurring monthly basis using the payment method provided at enrollment. By enrolling, the Member or responsible payer authorizes AUdacious City and its payment processor to charge the applicable recurring membership fee.

  5. AUdacious City may change the standard membership rate or membership benefits prospectively upon reasonable notice. The protected Founding Member rate described above is not subject to a standard-rate increase while qualifying continuous membership is maintained.

3. Monthly Event Benefit

  1. Membership includes participation in up to three eligible AUdacious City events of the Member's choice per membership month, subject to event capacity, registration requirements, eligibility, and any event-specific restrictions.

  2. Membership does not guarantee a place in any particular event. Event capacities vary based on venue, activity, staffing, safety, and program considerations.

  3. Certain special, premium, ticketed, travel, vendor-priced, or limited-capacity experiences may require an additional fee or may have separate terms. Any additional cost will be disclosed before registration.

  4. Unused event selections have no cash value and are not redeemable for refunds.

4. Rollover of an Unused Event

  1. A Member may roll over a maximum of one unused event credit from one month into the immediately following month.

  2. A rolled-over credit must be used during that immediately following month. It does not roll over again and is forfeited if unused.

  3. Rollover credits remain subject to event availability, registration rules, and any event-specific eligibility or additional-cost requirements.

  4. Rollover does not create a right to a refund, cash payment, or extension beyond the permitted period.

5. Event Registration and Capacity

  1. Advance registration is required for events unless AUdacious City states otherwise.

  2. Registration is personal to the Member and may not be transferred to another person without AUdacious City's approval.

  3. Members should register only for events they reasonably expect to attend and are responsible for reviewing the event description, Know Before You Go information, location, start time, activity requirements, sensory/environmental information, and venue-specific instructions.

  4. AUdacious City may establish registration opening dates, waitlists, capacity limits, or priority-access rules for particular events.

  5. AUdacious City may decline or cancel a registration when reasonably necessary for safety, eligibility, capacity, nonpayment, or compliance with this Agreement or other applicable AUdacious City policies.

6. Member Cancellation of an Event

  1. A Member who cancels an event at least 72 hours before the scheduled start time may generally return that event selection to the Member's available allotment for the applicable month, subject to availability and rollover rules.

  2. A cancellation made less than 72 hours before the event is a late cancellation. The event will count as one of the Member's selected events and ordinarily will not be returned to the Member's monthly allotment.

  3. A no-show is treated as a late cancellation and the event is forfeited.

  4. AUdacious City may, in its discretion, waive a late-cancellation consequence in exceptional circumstances. A waiver in one instance does not require a waiver in another.

  5. Repeated late cancellations or no-shows may result in reasonable registration restrictions designed to protect limited event capacity for the membership community.

7. AUdacious City Cancellation or Modification of an Event

  1. AUdacious City may cancel, postpone, relocate, substitute, or modify an event because of weather, venue or vendor issues, staffing, safety, insufficient participation, circumstances beyond its control, or other reasonable operational considerations.

  2. If AUdacious City cancels an event, the canceled event will not count against the Member's event allotment. AUdacious City will provide an appropriate event credit, replacement opportunity, or other remedy consistent with the membership program.

  3. AUdacious City is not responsible for incidental or consequential expenses incurred by a Member because of an event change or cancellation, except as required by applicable law.

8. Membership Cancellation

  1. A Member may request cancellation of membership at any time. Unless AUdacious City states otherwise in writing, cancellation becomes effective on the first day of the following month.

  2. Membership fees already charged for the current membership period are nonrefundable except where AUdacious City expressly states otherwise or applicable law requires otherwise.

  3. A Member remains responsible for charges associated with existing event commitments occurring during a period for which membership remains active.

  4. If, at the time a cancellation request is made, the Member is registered for one or more events occurring within the next 30 days, AUdacious City may treat the membership as remaining active through the month in which those reserved events occur and charge the applicable membership fee for that month.

  5. If a reserved event is more than 30 days after the cancellation request, AUdacious City may cancel that future reservation so that the reservation alone does not extend the Member's payment obligation.

  6. Cancellation of a Founding Membership ends the protected Founding Member rate. A later re-enrollment will be at the then-current membership rate unless AUdacious City agrees otherwise in writing.

9. Payment, Failed Payments, and Refund

  1. Membership fees are due according to the billing schedule established at enrollment.

  2. If a payment is declined, reversed, disputed, or otherwise not successfully collected, AUdacious City may suspend event registration or participation until the account is brought current.

  3. The Member or responsible payer is responsible for maintaining accurate billing information and an authorized payment method.

  4. Except where expressly provided by AUdacious City or required by applicable law, membership fees are nonrefundable and are not prorated for missed events, late cancellations, no-shows, vacations, illness, scheduling conflicts, or a Member's decision not to use available benefits.

  5. AUdacious City may correct billing errors and issue credits or refunds when it determines they are appropriate.

10. Member Conduct and Community Standards

  1. Members must treat other Members, staff, volunteers, vendors, venue personnel, and members of the public with reasonable respect and comply with lawful safety directions.

  2. Harassment, bullying, threatening conduct, physical aggression, serious sexual misconduct, theft, intentional serious property damage, possession or use of prohibited weapons, unlawful substance use, or conduct creating a substantial safety risk may result in immediate removal, suspension, or termination.

  3. AUdacious City may use warnings, redirection, registration restrictions, temporary suspension, conditions for continued participation, or termination depending on the seriousness, frequency, context, and impact of conduct.

  4. AUdacious City is not required to use progressive discipline when immediate action is reasonably necessary to protect Members, staff, partners, or the public.

11. Health, Safety, and Emergencies

  1. Members are responsible for providing accurate information concerning allergies, mobility considerations, communication needs, emergency contacts, and other information requested for safe participation.

  2. Members should not attend an event when illness, injury, intoxication, or another condition would make participation unsafe for the Member or others.

  3. AUdacious City staff are not medical providers in their AUdacious City roles and do not provide medical diagnosis, treatment, medication administration, or ongoing medical monitoring.

  4. In an apparent emergency, AUdacious City may contact emergency services and the Member's emergency contact. The Member is responsible for costs of emergency medical care, transportation, or other third-party services.

12. Third-Party Venues, Vendors, and Activities

  1. AUdacious City events may take place at facilities or involve services operated by independent venues, instructors, vendors, transportation providers, restaurants, entertainment providers, or other third parties.

  2. Members must comply with reasonable rules and safety requirements imposed by those third parties.

  3. A third party may require its own waiver, release, ticket terms, participation requirements, or other agreement as a condition of participation.

  4. AUdacious City does not control all conditions, acts, omissions, products, or services of independent third parties.

​13. Assumption of Ordinary Activity Risks

  1. Community and recreational activities involve ordinary risks that vary by event, including risks associated with travel within public spaces, physical activity, food, crowds, weather, equipment, other participants, and third-party venues.

  2. Members are responsible for reviewing event information and deciding whether a particular event is appropriate for them.

  3. Nothing in this Agreement is intended to waive rights or liabilities that cannot lawfully be waived. Separate activity-specific waivers or acknowledgments may be required for certain events.

14. Personal Property

  1. Members are responsible for their personal belongings. AUdacious City is not responsible for loss, theft, or damage to personal property except to the extent liability cannot lawfully be excluded.

  2. Members may be responsible for damage they intentionally or negligently cause to AUdacious City property, venue property, or the property of others, subject to applicable law.

15. Privacy, Photography, and Communications

  1. AUdacious City may collect and use Member and emergency-contact information as reasonably necessary to administer membership, communicate about events, support safety, process payments, and operate the program.

  2. Photography, video, publicity, and use of a Member's likeness will be governed by AUdacious City's applicable media-consent process. Membership alone does not constitute blanket consent for promotional use of a Member's likeness.

  3. Members are expected to respect the privacy of other Members and should not publish or share another Member's personal information, images, or private communications without appropriate permission.

  4. Members or responsible payers consent to receive operational communications related to membership, billing, safety, registration, and events using the contact information provided.

16. Suspension or Termination by AUdacious City

  1. AUdacious City may suspend or terminate membership for material violation of this Agreement or applicable policies, nonpayment, repeated conduct that disrupts or compromises the community, significant safety concerns, loss of eligibility for the current program model, or other substantial reasons affecting safe or effective operation.

  2. When circumstances permit, AUdacious City may communicate concerns and consider reasonable conditions for continued participation before termination. Immediate suspension or termination may be used when reasonably necessary for safety or serious misconduct.

  3. Upon termination, future event registrations may be canceled. Any refund or credit will be determined under this Agreement, applicable policies, and applicable law.

  4. Termination of membership by AUdacious City does not create a right to reinstatement.

17. Program and Policy Changes

  1. AUdacious City is a developing membership community and may modify its event calendar, venues, staffing model, operating procedures, benefits, registration practices, eligibility criteria, and policies as the community grows.

  2. Material changes to membership terms will be communicated with reasonable notice and will apply prospectively unless immediate implementation is reasonably necessary for safety, legal compliance, or program integrity.

  3. Continued membership after the effective date of a properly communicated change constitutes acceptance to the extent permitted by applicable law.

18. No Guarantee of Friendship, Attendance, or Particular Outcomes

  1. AUdacious City is designed to create opportunities for social connection and belonging, but it cannot guarantee friendship, social compatibility, attendance by particular Members, participation in a particular event, or any specific personal or social outcome.

  2. Membership is a community participation opportunity and is not therapy, clinical treatment, education, employment training, or a guaranteed service outcome.

19. Member Responsibility for Information

  1. The Member or person completing enrollment on the Member's behalf represents that information provided to AUdacious City is accurate and complete to the best of their knowledge.

  2. AUdacious City should be notified promptly of material changes to contact information, emergency contacts, allergies, participation needs, or other information relevant to safe participation.

20. Electronic Acceptance and Responsible Payer

  1. This Agreement may be accepted electronically. Electronic acceptance has the same effect as a handwritten signature to the extent permitted by law.

  2. If another person pays membership fees or completes enrollment for the Member, that person agrees to the payment obligations applicable to the responsible payer but does not replace the Member as the individual subject to participation and conduct requirements.

  3. Where a legal guardian or other authorized representative is required to consent on behalf of a Member, that representative confirms that they have authority to do so.

21. Governing Law and Severability

  1. This Agreement is intended to be governed by the laws applicable in the State of Maryland, without regard to conflict-of-law principles, subject to review and revision by AUdacious City's legal counsel.

  2. If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

  3. A failure by AUdacious City to enforce a provision in one circumstance does not waive its right to enforce that provision later.

22. Entire Agreement and Related Policies

  1. This Agreement, together with policies, consents, waivers, and event-specific terms expressly incorporated or accepted in connection with membership, constitutes the applicable understanding concerning AUdacious City membership.

  2. If an event-specific safety requirement or third-party venue term conflicts with a general provision of this Agreement for that particular activity, the event-specific requirement may control participation in that event.

  3. AUdacious City may maintain a plain-language Membership Terms at a Glance summary for convenience. If the summary differs from this Agreement, the final attorney-approved Membership Agreement and applicable incorporated policies control.
